# General Terms and Conditions of Sale

These general terms and conditions of sale govern the contractual relations between Air Clean Ventilation and its clients for all work and services provided. They specify the terms governing quotes and orders, deposits and payments, site execution, complaints and warranties, as well as the responsibilities of each party. Placing an order or commencing work implies full and unreserved acceptance of these terms and conditions, which are governed by Belgian law.

### Article 1 – General Provision

Unless otherwise agreed in writing and to the exclusion of any other provisions, these general terms and conditions alone shall apply.

### Article 2 – Quotes, Offers, and Orders

Offers and quotes are valid for three months from their creation date.

Execution deadlines for the work are provided strictly for informational purposes, and failure to meet them shall under no circumstances justify order cancellation or any claim for compensation.

We do not intervene at any time in legal relationships between third parties. The person ordering the work (the ordering client), even by telephone, is responsible for payment within the stipulated timeframe without any other consideration.

The commencement of work automatically constitutes proof of acceptance of the terms of the offer or quote and express waiver by the ordering client of the provisions of Article 1341 of the Civil Code (mandatory written proof for amounts exceeding €74.37).

### Article 3 – Additional Work

To the extent possible, we always inform the ordering client and request their consent—even by telephone—for additional work that proves essential during the project.

However, given the frequent practical impossibility of obtaining written confirmation, such work shall be presumed to have been formally ordered by the client, who waives any dispute in this regard.

### Article 4 – Deposits

For work estimated by us at less than €619.73 excluding VAT, a deposit of 50% may be required upon ordering.

For amounts exceeding €619.73 excluding VAT, payable deposits are evaluated and communicated to the ordering client based on the work concerned.

Order validation occurs only upon receipt of a deposit equal to 30% of the total amount.

Failure to pay deposits automatically suspends the progress of the work.

### Article 5 – Payment Terms

Our invoices are payable in cash, without discount, at our registered office or into one of our bank accounts, unless a 30-day invoice date exception applies.

Total or partial non-payment by the due date will, after a period of seven (7) calendar days, result in a payment reminder letter being sent. If the client fails to pay the amount due within fifteen (15) calendar days, it shall automatically be increased by interest at the rate of 15% of the invoice amount, with a minimum of €150 due automatically and without prior notice for extrajudicial collection costs, as well as late payment interest calculated at the applicable legal rate.

No novation shall occur without our written consent.

Payment terms are: 30% upon signing the contract, 20% at the start of the project, 30% midway through the project, and the remainder upon completion of the project.

Invoices are sent by email to the address provided by the client.

If an invoice is issued in the name of a third party at the client's request, the client and the third party shall be joint and severally liable for the payment of the debt concerned to the Contractor.

### Article 6 – Complaints

Any dispute regarding an invoice must be reasoned and sent to the Contractor within seven (7) calendar days of the invoice date by registered post. After this period, the dispute shall not be admissible.

No complaint regarding the details on the job sheet will be accepted after it has been signed.

A duly submitted complaint in no way suspends the obligation to pay invoices in full by their due date. If the complaint is deemed justified and an overpayment exists, adjustment shall be made by reimbursing the amount concerned within two months following the decision.

### Article 7 – Express Termination Clause and Retention of Title

In the event of non-payment, we reserve the right to either:

- Pursue full performance of contractual obligations through legal channels; or
- Unilaterally declare the contract terminated as of right due to the debtor's breach, without judicial proceedings. Termination shall be preceded by a formal notice sent to the debtor by registered letter and shall take effect automatically eight full days after dispatch if payment is not received within this period.

In both cases, invoiced equipment and goods remain our property until full payment is received and may be recovered by us, particularly if the debtor proves to be insolvent.

Any delivered and/or installed system remains the property of the Contractor until full payment of all amounts due in principal, costs, interest, and any compensation. Failing payment of the amounts due on the due date, the Contractor shall have the right to repossess the system at the Client's expense; where applicable, the Client authorizes the Contractor or designated persons to access the premises where the delivered and/or installed system is located.

Until full payment for the system, the Client may not resell, pledge, or assign it to any security or lien without the Contractor's prior written consent. The Client agrees to notify the Contractor of any seizure carried out by a third party on the delivered system or on the building where the system was installed and for which the price has not been paid in full. Similarly, the Client agrees to inform the Contractor if the delivered system is stored in a location leased by the Client or a third party and shall provide the Contractor with the landlord's contact details. Until full payment, and as far as necessary, the Client waives the benefit of accession.

### Article 8 – Damages and Penalties

In the event of cancellation by the ordering client of an accepted order prior to the start of work, an amount equal to 20% of its value shall be invoiced.

In the event of cancellation by the ordering client during the project or work stoppage for reasons beyond our control, supplies delivered and services performed shall be invoiced in full, along with an amount equal to 20% of the value of the planned but unperformed work.

In the event of unilateral termination on our part, all services performed remain due, including labor, travel, and unrecovered supplies, as well as an amount equal to 50% of the value of any supplies or installations recovered by us.

The provisions regarding penalty clauses and late payment interest apply to the above amounts in case of late payment.

### Article 9 – Warranty

The warranty for devices sold or installed by us is that provided by the manufacturer.

For the remainder, the deadline to invoke any warranty is, on pain of forfeiture, eight full days after the defect appears or after the time it should have been observed.

A warranty claim can only be made after full payment of the invoices relating to the work and supplies concerned.

No damages may be claimed on the basis of a warranty claim or its consequences of any kind.

### Article 10 – Execution of Work and Liability

The client agrees to provide access to the premises where the system is to be delivered and installed and/or the service provided. Where applicable, the client also agrees to provide free of charge the electricity and water necessary for the installation and/or service provision.

The ordering client is deemed to know the condition of the materials incorporated into the building and assumes responsibility for all damage or accidents that may occur on this account during or on the occasion of the work.

We decline all liability for damage caused by scaffolding. The preliminary steps for its installation and the various related taxes are the responsibility of the ordering client.

Electrical connection is to be provided by the client.

If roofing work is involved, roof penetrations and waterproofing are to be provided by the client.

The work carried out includes only the ventilation portion. All carpentry, plastering, plumbing, or other work must be performed by an appropriate trade professional.

### Article 11 – Jurisdiction

At our sole choice, the magistrates' courts, tribunals, and courts of Brussels shall have jurisdiction in the event of a dispute. Belgian law alone shall apply.
